Rules of the ENGLISH CLUB TOGGENBURG-WIL (ECTW)


1. The ENGLISH CLUB TOGENBURG-WIL (ECTW), founded on the 26TH April 1991 in Wattwil, has its seat in Wil. The club recognizes no differences in colour, creed, nationality or political persuasion.

2. The aim of the Club is to promote friendship and understanding among English-speaking people.

3. The Club intends to meet at least once a month from September to June. Meetings will usually be held on a Friday.

4. Eligible as Club Members are persons over the age of 16 years.

5. Registered Members are entitled to vote at the Annual General Meeting and to enjoy all the facilities offered by the Club. They are expected to protect the aims and welfare of the Club.

6. The meetings and the business of the Club shall normally be conducted in English.

7. The annual membership fee shall be CHF 50 for any member. For certain events an additional charge to cover costs will be made.

8. Non-members wishing to attend meetings are required to pay a fee.

9. Members resigning during the year shall not be entitled to any refund of the membership fee. Said resignations need be made in writing and shall be placed 30 days before the Annual General Meeting in April of the current year. Members joining after October shall pay one half the membership fee.

10. Members whose conduct is detrimental to the general interest of the Club and its membership may be asked to resign. Such enforced resignation shall be decided by the Committee, subject to ratification at the Annual General Meeting or an Extraordinary General Meeting, as per Para. 72 of the Swiss Civil Code.

11. The Club shall be administered by:

The Annual General Meeting;
The Auditors;
The Committee.

12. The Annual General Meeting shall conduct the following business:
Approval of the President's, Treasurer's and Auditors' reports;
Election of the Auditors;
Any other business;
Dissolution of the Club.

13. A quorum at the Annual General Meeting shall comprise one-third of the Members. Should a vote on any matters result in a tie, the president has the casting vote.

14. All proposals must be seconded by one other member before a vote is taken.

15. The Annual General Meeting shall be held in April. An Extraordinary General Meeting may be called by the Committee at their own discretion, or must be called by them if requested by one fifth of the members. The agenda, and in particular, any motion proposing changes to these rules, shall be published in the club programme announcing the Annual General Meeting.
16. Two members are elected as Auditors at the Annual General Meeting. Their task is to check the accounts of the Club and to present their report to the next Annual General Meeting. The Auditors may be re-elected.

17. The Committee of the Club comprises a minimum of three members:

The President
The Vice-President
The Secretary
The Treasurer
Two Extra Members

18. The officers of the Club shall be elected at the Annual General Meeting and hold office for one year. They may offer themselves for re-election, provided their respective uninterrupted terms of office do not exceed the following:
President 4 years
Vice-President 4 years
Secretary 6 years
No person may be a member of the Committee for more than 8 years without interruption of at least one year.

19. The Committee is required to carry out the administration of the Club to the best of its ability. It represents the Club towards third parties and is authorized to spend Club funds as appropriate to the best interest of the Club. In financial matters the President or the Vice President signs with one other committee members.

20. Sub-Committees may be convened as deemed necessary to assist and advise the Committee.

21. The dissolution of the Club may only be decided at the Annual General Meeting or an Extraordinary General Meeting by a majority of the members present at such a meeting. In the event of the club being dissolved at some later date, any club funds are to be donated to charity.


These rules have been amended at the Annual General Meeting of 17th April 2009 for the English Club Toggenburg / Wil (ECTW).
